Terms of Service

Effective Date: [June 11, 2026]

Welcome to RubberValve.com (“Website”). These Terms of Service (“Terms”) govern your access to and use of this Website and any products, samples, technical support, OEM/ODM development, custom manufacturing, and related services provided by Fuzhou Jingteng Seiko Rubber & Plastic Co., Ltd. and/or its affiliated business operations (“Company,” “we,” “us,” or “our”).

By accessing this Website, submitting an inquiry, requesting samples, placing an order, or otherwise engaging with our products or services, you agree to be bound by these Terms. If you do not agree, please do not use this Website or our services.

1. Company Scope

We are a professional manufacturer of micro rubber and plastic valves and related fluid-control components, including but not limited to Duckbill Valves, Umbrella Valves, Anti-siphon Check Valves, Check Valves for Hemodialysis, Quick Connect Check Valves, diaphragm valves, silicone valves, plastic valves, and other custom valve components.

Our products and services are primarily supplied to customers in medical devices, smart home appliances, automotive systems, health and environmental applications, water treatment, food-related equipment, and agricultural irrigation, among other industrial and consumer sectors.

We provide standard products as well as OEM and ODM services, including design support, material selection, mold development, laboratory testing, mass production, and quality control support.

2. Website Use

You may use this Website only for lawful business and informational purposes. You agree not to misuse the Website, interfere with its operation, attempt unauthorized access to any systems, copy or exploit Website content without authorization, or use the Website in any way that may damage the Company’s reputation or business interests.

Information on this Website is provided for general reference. Product descriptions, images, test information, material information, application examples, and technical articles are intended to present general capabilities and may not constitute a binding specification, offer, or guarantee unless expressly confirmed by us in writing.

3. Product Information and Technical Materials

We strive to ensure that product information on the Website is accurate and commercially useful. However, product dimensions, materials, flow characteristics, opening pressure, cracking pressure, chemical resistance, sterilization compatibility, service life, and other technical data may vary depending on application environment, assembly conditions, media, temperature, pressure, and customer-specific design requirements.

Any drawings, data sheets, lab reports, sample results, validation data, certification references, or application recommendations provided by us are for reference unless expressly stated as part of an approved specification or signed supply agreement. Customers remain responsible for verifying product suitability in their own systems, devices, and regulatory context before commercial use.

4. Inquiries, Quotations, and Order Acceptance

All inquiries submitted through the Website, email, messaging channels, or other communication methods are non-binding until confirmed by us. Any quotation we issue is subject to revision based on final specifications, material selection, tooling requirements, testing requirements, order volume, delivery destination, and other commercial factors.

No order shall be deemed accepted until we confirm it in writing, including by proforma invoice, order confirmation, signed contract, or other formal commercial document. We reserve the right to reject or cancel any inquiry or order due to product unavailability, technical infeasibility, pricing errors, compliance concerns, or suspected misuse or fraud.

5. OEM, ODM, and Custom Development

Because our business includes OEM and ODM valve development, customers may request custom dimensions, materials, hardness, cracking pressure, connector structures, cleanliness standards, packaging methods, or performance targets.

For custom projects, the customer is responsible for providing complete and accurate technical requirements, application conditions, compliance expectations, and any special validation standards. We may provide design suggestions, but unless otherwise agreed in writing, final responsibility for system-level compatibility and end-use validation remains with the customer.

Tooling, mold development, prototyping, sample approval, engineering changes, and validation cycles may affect pricing, lead time, and project feasibility. Changes requested after design confirmation or tooling commencement may result in additional charges and revised delivery schedules.

6. Samples and Testing

We may provide samples for evaluation, verification, or prototyping purposes. Unless otherwise agreed, sample products are supplied for testing only and shall not be considered approved for commercial, medical, or safety-critical deployment without further validation by the customer.

Sample performance data, including airflow, liquid sealing, backflow prevention, chemical resistance, aging, or lifetime testing, may be generated under controlled conditions and may not fully reflect actual performance in the customer’s final application. The customer must independently test and confirm suitability before mass adoption.

7. Pricing and Payment

All prices, unless otherwise stated, are quoted in the currency specified in the quotation or invoice. Prices may exclude tooling charges, taxes, bank charges, freight, customs duties, insurance, certification costs, validation costs, or special packaging fees unless expressly included in writing.

Payment terms shall be as stated in the applicable quotation, proforma invoice, purchase order confirmation, or signed contract. We reserve the right to suspend production, shipment, technical support, or further development work if payment is overdue.

8. Lead Time and Delivery

Estimated production and delivery timelines are provided in good faith based on normal production planning, material availability, tooling progress, and logistics conditions. However, lead times are estimates only and do not constitute a guarantee unless expressly agreed in writing.

Delivery dates may be affected by design changes, delayed customer approvals, late payment, supply chain disruption, force majeure, export procedures, customs clearance, carrier delays, or other events beyond our reasonable control.

Unless otherwise agreed, risk in the goods transfers according to the applicable shipping terms stated in the commercial documents between the parties. Customers are responsible for providing accurate shipping and consignee information.

9. Inspection, Acceptance, and Claims

We emphasize quality control and state on our Website that production inspection is part of our manufacturing process.

Upon receipt of goods, the customer shall inspect the products without unreasonable delay. Any claim relating to quantity, visible damage, incorrect shipment, or apparent non-conformity should be submitted in writing within a reasonable period after delivery, together with batch information, photographs, test details, and other relevant evidence.

No products may be returned without our prior written authorization. Unauthorized returns may be refused.

10. Limited Warranty

We warrant that, at the time of shipment, products supplied by us will substantially conform to the agreed specifications confirmed in writing for the relevant order. This limited warranty applies only to defects directly attributable to our materials or workmanship under normal and intended use.

This warranty does not apply to problems caused by improper installation, misuse, unsuitable storage, unauthorized modification, incompatible media, abnormal temperature or pressure, sterilization mismatch, design misuse, poor assembly conditions, or customer-side system defects.

Because many of our products are custom-engineered valve components used in customer-specific systems, our warranty is limited to repair, replacement, credit, or other remedy determined by us in our reasonable discretion, subject to the specific order arrangement and applicable law.

11. Medical, Food, and Regulated Applications

Some materials or products may be described as bio-compatible, food grade, or compliant with certain material-related standards on our Website. Such statements refer to material-level characteristics or available reference information and should not be interpreted as automatic approval for any finished device, final assembly, or regulated market submission.

For medical devices, hemodialysis components, food-contact systems, and other regulated applications, the customer is solely responsible for conducting all required validation, verification, biocompatibility review, sterilization assessment, registration analysis, and regulatory approval for the final product and intended market.

12. Customer Responsibilities

The customer agrees to:

  • Provide accurate technical, commercial, and shipping information.
  • Review drawings, specifications, and samples carefully before approval.
  • Verify fitness for the intended application, especially in safety-critical or regulated uses.
  • Comply with applicable import, export, sanctions, customs, and local regulatory requirements.
  • Use, install, and maintain products in accordance with professional engineering practice.

If the customer supplies drawings, samples, brand elements, packaging designs, or technical instructions, the customer warrants that it has the legal right to do so and that such materials do not infringe any third-party rights.

13. Intellectual Property

All content on this Website, including text, product images, graphics, logos, technical materials, page designs, and other content, is owned by us or used with authorization and is protected by applicable intellectual property laws.

Without our prior written permission, you may not copy, reproduce, publish, distribute, modify, display, or commercially exploit any Website content except for internal business evaluation purposes.

Unless otherwise agreed in writing, any molds, tooling concepts, drawings, technical solutions, test methods, or manufacturing know-how developed by us during quotation or development remain our property or are subject to the specific intellectual property allocation stated in the project agreement.

14. Confidentiality

Any non-public technical, commercial, pricing, prototype, tooling, or project information exchanged in the course of cooperation shall be treated as confidential by both parties, whether or not marked confidential, if its nature reasonably indicates confidentiality.

Such information shall not be disclosed to any third party except as necessary for business performance, legal compliance, or with prior authorization. Where a separate NDA applies, that NDA shall prevail in the event of conflict.

15. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, punitive, or consequential damages, including loss of profit, loss of business, recall costs, reputation loss, production interruption, or third-party claims arising out of or related to the use of the Website, the use of our products, or any delay or failure in supply.

Our total liability arising out of any order, service, or claim shall not exceed the amount actually paid to us for the specific products or services giving rise to the claim, unless otherwise required by applicable law or expressly agreed in writing.

16. Force Majeure

We shall not be responsible for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, war, terrorism, labor disputes, utility interruption, transportation disruption, government action, customs delay, export restriction, raw material shortage, or supplier failure.

In such cases, the affected obligations shall be suspended for the duration of the relevant event, and delivery or performance timelines may be reasonably extended.

17. Export and Compliance

Our products may be supplied to customers in multiple countries and industries. Customers are responsible for ensuring that the import, resale, integration, labeling, certification, and end use of the products comply with all laws and regulations applicable in their jurisdiction and application sector.

We reserve the right to decline transactions that may violate export controls, sanctions, anti-bribery standards, or other legal compliance requirements.

18. Privacy and Communications

When you contact us through the Website, email, forms, or other channels, we may collect and use your business contact details and inquiry information for the purpose of responding to your request, providing quotations, processing orders, and supporting customer communication. Your data handling should also be governed by our Privacy Policy where applicable.

By submitting an inquiry, you agree that we may contact you regarding your request, technical clarification, quotations, samples, production matters, or related business communication.

19. Changes to Terms

We reserve the right to update or modify these Terms at any time. Any updated version becomes effective when posted on this Website, unless otherwise stated. Continued use of the Website or continued business engagement after such update constitutes acceptance of the revised Terms.

20. Governing Law and Dispute Resolution

These Terms shall be governed by the laws agreed between the parties in the applicable contract, purchase order, or written commercial agreement. If no separate governing law clause has been agreed, disputes should first be resolved through friendly negotiation in good faith.

If negotiation fails, the parties may submit the dispute to a mutually agreed court, arbitration institution, or other dispute resolution mechanism as set out in the controlling transaction documents.
